WEDDING SERVICE AGREEMENT


In the following terms & conditions "the Photographer" shall mean Lilly Wilson Photography, "the Client(s)" shall be those persons defined as the couple in the wedding booking. It is agreed that the following terms set out the total agreement made between the parties and that no variation or modification of this contract shall be effective unless agreed by both parties in writing. Before the Photographer carries out their services, the Client shall read the terms and conditions below. 



ENTIRE AGREEMENT: This agreement contains the entire understanding between the Clients and the Photographer. Any amendments to this Agreement shall only be effective if made in writing and executed by both parties.



SERVICES PROVIDED: The Photographer shall document the Client’s wedding day by way of Photography Services. Photos will be taken in a documentary and reportage style in keeping with the Photographer’s brand and storytelling style. The Photographer will work under the wedding package chosen by the Clients at the time of booking.



COOPERATION: The Clients and the Photographer consent to happily cooperating and communicating with each other to achieve the best possible results within the understanding of this contract. It is recommended that the Photographer be provided with a helper (usually an usher or bridesmaid) who will point out key individuals to be photographed. The Photographer may also require assistance in organising family groups. 



Any list of specific formal group shots required by the Clients is to be given to the Photographer prior to the wedding with full understanding that these shots take time and may affect the time allocated to candid coverage. For this reason, the Clients acknowledge that the Photographer advises no more than 8 group combinations.



Unless a list is given to the Photographer beforehand and time set aside in the wedding day itinerary for formal group shots, the Clients understand that no formal group shots will be captured as the Photographer is a documentary photographer, and will go about the wedding day capturing candid moments.



THE SCHEDULE: The Photographer’s shooting schedule & style of working is designed to achieve a beautiful set of wedding photos for the Clients, accomplished with good humour and enjoyed by all concerned. Both the Clients and the Photographer therefore agree that punctuality and cheerful cooperation are essential to producing outstanding photographic results. In cases where the wedding does not run on time the Photographer cannot guarantee to take the normal set of photos although in such circumstances will do their absolute best to compensate.



The Clients also agree to give the Photographer sufficient warning of key events at the wedding to give the Photographer time to prepare e.g. confetti throwing, cutting the cake, speeches etc.



When planning their wedding day timeline, The Photographer strongly advises the Clients to:



(i) Collaborate with The Photographer on the timeline from the early stages of planning so that adequate time and natural light can be allocated to specific parts of the day. For example the Photographer can advise on the time of sunset and when it might be best to schedule speeches in order to avoid a clash. 



(ii) Review  the details of their booked package, in order to reconfirm the scheduled finish time of Photography coverage. (For Full-Day wedding packages, photography coverage concludes at 8:30pm unless agreed otherwise and all other packages will have a bespoke finish time.) 



The Clients agree to work with the Photographer when planning their timeline and, in the case of Full Day bookings, understand that all key moments, including but not limited to, speeches, cake cutting  first dance etc, must be scheduled to have concluded by 8:30pm, unless agreed otherwise at the time of booking.



If the schedule over-runs by more than 30 minutes from the scheduled finish time of coverage, £100 may be charged for every half hour period that the Clients require the Photographer to stay. Clients must note that The Photographer may not always be able to accept these additional hours due to travel  requirements and or having a wedding the next day.



If the Photographer is required to stay for the evening reception the Clients shall ensure that either a hot meal is provided for the Photographer(s) to be taken while the wedding party eat or they understand that the Photographer(s) will be off site for up to 60 minutes sourcing their meal.



PAPARAZZI WEDDING GUESTS: All your guests will have cameras and all your guests will want to photograph the Clients. In the spirit of cheerful cooperation the Clients agree to give the Photographer(s) precedence over the guests in order to take the photographs required for the wedding services described above. The Photographer cannot be held liable for a lack of wedding photos if guests taking their own photos of the Clients interrupt the Photographer's work. The Photographer is not responsible for the impact on the final product by any interference caused by guests or other vendors, including videographers, at the wedding. The Photographer will make every effort to obtain, but cannot guarantee delivery of, any specific images requested by Clients because of the Photographer’s lack of control over the wedding, its participants, weather, and any rules or restrictions of the venue or official conducting the wedding.



The Clients understand that not every photograph they remember being taken may be delivered. This can be for a variety of reasons, including the final outcome being technically incorrect or just not a good photograph. The Photographer will never withhold any images from the Clients that are good and would be loved.



Please note that not all guests at weddings like having their photo taken. In such cases the Photographer will use their discretion but cannot be held responsible for a lack of photos of these guests. 



HOUSE RULES: Note the Photographer(s) are sometimes limited by rules imposed by priests, registrars, ministers, officiants and venue management as to what can and cannot be done. For example, religious ceremonies usually require the Photographer to shoot from a specific location not considered invasive or distracting to the sanctity of the vows being made.



In such circumstances the Clients agree to accept the technical limitations that may impose. Additionally, for Data Protection reasons, the Photographer is not permitted to photograph the official signing of the marriage licence. At the registrar’s discretion, a mock-up signing is usually recreated. The Clients are asked by the Photographer to make themselves aware of the rules of the venue prior to the wedding date and if necessary negotiate with the personnel concerned.



ARTISTIC LICENCE: The Photographer shall be granted creative and artistic license in relation to the photographs including without limitation: their selection; editing; and post processing. The Photographer’s judgment on photographic style shall be deemed correct. 



The Photographer will provide a pleasing colour balance and enhance the images as they see fit, but cannot guarantee exact colour matching. Owing to anomalous reflectance caused by a combination of certain dyes and materials, especially man made fibres, it is sometimes impossible to record on film/digital media the exact colour of materials as seen by the human eye. 



The Client’s acknowledge that the Photographer has a particular style in terms of the grade and look of her images. The Clients confirm that they have viewed the Photographer’s portfolio of work and have chosen the Photographer, in part, on the basis of her editing style. They understand that their wedding gallery will be edited in the Photographer’s obvious editing style and the Photographer will not and is not able to change her style upon the request of the Clients. 



Any editing style requests made by the Clients prior to the wedding, which clearly contradict the Photographers editing style, may result in the Photographer terminating the booking. If editing style requests are made after the wedding, the Photographer will continue to edit the wedding gallery in her signature style. 



Any specific 'Photography Brief' in addition to the Client's chosen wedding photography package must be presented to the Photographer and approved before this agreement is signed and the booking confirmed. Any Photography Brief presented to the Photographer at a later date, depending on its contents,  may result in the Photographer having to terminate the booking.



In the event that the Clients require any additional post processing to be undertaken (for example, retouching in Photoshop or similar) then an additional fee may be levied which shall be agreed between the parties before any post processing work is undertaken. The cost for additional post processing is £60 per hour. Retouching includes but is not limited to additional skin softening/smoothing, correction of hair/makeup/clothing, removal of objects or people from a scene, swapping a face from one image to another, environmental effects, reflections in glasses, teeth whitening, brightening of eyes, and bodily enhancements.



Due to the weather and the availability of subjects, no one image is guaranteed. The Clients are reminded to view examples of the Photographer’s previous work, and understand her documentary style and editing techniques are in line with her brand.



RAW, unedited images are not supplied by the Photographer under any circumstances.



The Photographer will be the sole professional photographer on the day alongside their second shooter if booked. 



The Clients are reminded that booking a second shooter is highly advised for larger weddings and in cases where the Clients are getting ready in separate locations prior to the ceremony. Depending on the wedding schedule and locations, the Photographer cannot guarantee both Clients getting ready preparations will be covered when shooting solo.



COPYRIGHT LAW: The copyright of the photographs remains with the Photographer at all times throughout the world and shall under no circumstances be assigned to the Client.



The images taken by the Photographer are for personal use by the Clients and their friends and relatives. The Photographer grants the Clients permission to make copies of the images, for example - reprinting them, uploading them to Instagram and other similar social media platforms, emailing to friends and family and such like. The permission only applies to the Client and its benefit shall not be assigned to any third party without the Photographer's prior written consent.

 

Sale, Publication or any Commercial use of the photographs is not allowed without prior written permission from the Photographer. This includes use by other vendors involved in the Client's wedding. Suppliers must contact the Photographer and obtain permission for Commercial use of the Photographer's images.



Manipulation of any image or use of only a portion of the image may only take place with the Photographer's permission. If the Clients wish for whatever reason to alter the images provided by the Photographer through filters, do not “tag” or credit the Photographer as this will not be representative of the Photographer’s artistic finishing.



MODEL RELEASE: The Clients grant the Photographer and their legal representatives, heirs and assigns, the irrevocable and unlimited consent to use the photographs of the Clients for editorial, competition, advertising and to copyright the images. The Clients hereby release the Photographer and their legal representatives, heirs and assigns from all liability and claims in connection with the images. 



The Photographer retains the right in all cases to use the images in any manner at any time and in any part of the world for the purposes of advertising or otherwise promoting her work. 



The Photographer’s work features on wedding blogs, social media, Pinterest and in wedding magazines, and it is agreed that the Photographer may use the images for this purpose unless the Clients opt out in writing and this is acknowledged by the Photographer. As the Photographer’s business heavily relies upon her being able to share and promote her work to future clients, a fee may be levied as compensation to the Photographer if Clients wish to opt out. 



CONFIDENTIALITY: The Photographer shall keep confidential and will not disclose to any third parties or make use of material or information communicated to her in confidence for the purposes of the Photography Services, save as may be reasonably necessary to enable the Photographer to carry out her obligations in relation to the Photography Services. 



It is the Client’s responsibility to notify the Photographer of any members of the wedding party who cannot have their images posted online due to privacy matters. These can include adoption, armed forces or domestic abuse victims. It is the Client’s responsibility to inform the Photographer of these people prior to the day. As standard, the Photographer will not publish any images online of children without obtaining consent from the parent or guardian. 



LIMIT OF LIABILITY: If the Photographer is too ill or becomes injured and cannot supply the wedding services specified above the Photographer will book a replacement wedding photographer. If a replacement photographer cannot be found then liability is limited to a refund of any payments received. 



With regards to destination weddings the Photographer is not to be held responsible for flight delays.



The Clients must take out the appropriate wedding insurance.



The Photographers have working methods in place to prevent loss or damage to your images. However, there is the unlikely possibility that images may be lost, stolen or destroyed for reasons in or beyond the Photographer's control. In these circumstances liability is limited to the return of fees paid for the service or part thereof according to the percentage of images supplied.



The Photographer shall take all reasonable steps to protect the images that are recorded at the wedding until such time as the gallery is delivered to Client. Once the gallery has been delivered, the Photographer shall have no further obligation to preserve the images of the wedding, regardless of the form of media in which they are stored.



FORCE MAJEURE: If Photographer is unable to attend the wedding due to fire, flood, casualty, strike, civil disturbance, war, terrorism, Photographer sickness, or other acts of God beyond the parties’ control, then the Photographer shall return all money paid by the Clients (including any retainer), and this Agreement shall immediately terminate.



INITIAL PAYMENT: A non-refundable retainer/deposit as well as full acceptance of the terms and conditions secures the time and services of the Photographer for the wedding.



The Clients have a 14 day cooling off period from the date the booking fee/deposit is paid by which they can change their minds and receive a full refund. 



The retainer/deposit will be deducted from the cost of the Client's chosen package when calculating the final balance due.



The retainer/deposit secures the Photographer’s services exclusively for the Client’s chosen wedding date and covers work carried out by the Photographer prior to the wedding date (ie. work carried out from the point of initial enquiry/consultation onwards). This includes emails, telephone calls, contract drafting, Zoom meetings, face to face meetings, location recces, pre wedding shoots, itinerary prep & advice, as well as Welcome Guides. 



The Welcome Guide holds value due to the level of intellectual property transferred from the Photographer to the Client. This represents years of experience in the industry and ultimately the information provided in the welcome pack will make for a better photographic outcome for all parties.



PAYMENT: Payment in full of the remaining balance will be due no later than 30 days prior to the wedding date by electronic bank transfer. Bank details will be provided by the Photographer on any invoices issued to the Client. 



If payment is not made in accordance with the above clauses, the Photographer reserves the right to charge interest at the rate prescribed by the Late Payment of Commercial Debt (Interest) Act 1998 from the date payment was due until the date payment is made.



If payment is not made in accordance with the above clauses, the Photographer reserves the right to cancel the booking with prejudice to any claims which may have arisen and deduct such monies from the retainer/deposit she deems appropriate to reimburse her for her time and the expenses incurred up to the date of the withdrawal.



If the final payment/total fee has not been received in full ahead of the wedding, The Photographer is under no obligation to attend or capture the Client’s wedding and will not provide her services. 



Any photographic prints and or USBs provided in the Photographer’s Full Day Wedding Photography package includes Postage & Packaging to mainland UK addresses only. An additional fee will apply to addresses further afield. 



The Photographer is not registered for VAT.



PRICE PROTECTION: The Photographer warrants that all prices quoted for wedding photography products are valid for a period of 6 months following the Client's wedding date. Any orders placed after such period, such as for albums, additional prints etc, are subject to the Photographer’s published pricing at the time of the orders’ placement.



PRE-WEDDING SHOOTS: A complimentary 1 hour pre-wedding shoot is included in the Photographer’s ‘Full Day Coverage’ package and can be purchased as an ‘Add-on’ with any other package. Depending on the activities planned, an estimate of 60 images will be delivered to the Clients. As with wedding photography coverage, punctuality and cheerful cooperation are essential to producing outstanding photographic results. It is the Client’s responsibility to be pro-active with the Photographer about arranging this shoot and the Client understands the Photographer will have availability and location limitations.



(i) During peak wedding season months, i.e April - October, the Photographer may be unavailable on weekends and it may be the case that a weekday date will most likely guarantee the Photographer's availability.



(ii) Due to the complimentary nature of the shoot, the Client's acknowledge that the location chosen must be within a reasonable distance from the Photographer's home. If the Client's preferred location is further than 20 miles from the Photographer's home in RH12, a small travel fee will be incurred, charged at 50p per additional mile.



(iii) The Client's acknowledge that some locations are privately owned and official permission to photograph commercially will need to be sought and granted. If a fee is required to gain access to the premises, it is the Client's responsibility to pay this fee.



Pre-wedding shoots are complimentary when included in the Photographer's "Full Day Coverage" package. The Client is under no obligation to use the shoot and if it is not used, it cannot be deducted from the total package price or exchanged for another 'add-on' as it is a gift to the Client's on behalf of the Photographer. In addition, it cannot be redeemed after the wedding date as it is a shoot intended to help prepare the Client's for their wedding photography experience.



VIDEO CLIPS: For packages that include Video Clips or where Video Clips have been purchased as an add-on by the Clients, the Photographer will do her upmost to document a small selection of moments via short recordings on her iPhone. The Clients acknowledge and understand that the Photographer is not a professional videographer so the quality and quantity of the video clips recorded will reflect that. The Photographer will always give precedent to photography coverage as that is her primary objective on the day so will only be able to record video where time allows. No set amount of clips are guaranteed and no moment is guaranteed. The Photographer strongly advises the Clients to engage the services of a professional wedding videographer if videography and video documentation of their wedding day is important to them. 



35MM & POLAROID: As with digital images, The Clients understand that not every photograph they remember being taken may be delivered. Due to the imperfect nature of film photography, The Photographer cannot guarantee that all of the images captured on 35mm or Polaroid film will be delivered to the Client. Due to the nature of analog equipment and traditional film, not all shots may be a success. As with digital imagery, The Photographer will use her professional judgement to determine if an image has an outcome that is technically correct or artistic, never withholding any images from the Clients that are good and would be loved.



CANCELLATION: A booking is considered firm as from the date of receipt of the retainer/deposit. Accordingly the Photographer will, at her discretion, charge a fee for cancellation or postponement.

In the event of the Clients cancelling the wedding for any reason other than Covid related Government Restrictions, the retainer/deposit is non-refundable. It will be considered as liquidated damages to the Photographers. 



Upon cancellation of the booking, no further payment is due to the Photographer unless it is within 180 days of the proposed Wedding Day. In this case 50% of the overall fee will be due as compensation for loss of earnings.



Between 91 and 130 days of the proposed Wedding Day a fee of 75% of the overall fee will be due as compensation for loss of earnings.



90 days or less of the proposed Wedding Day a fee of 100% of the overall fee will be due as compensation for loss of earnings. 



If the date of the wedding needs to be changed/postponed by the Clients, these conditions still apply unless the Photographer is willing and able to take the revised booking. The retainer/deposit may then be transferred to the new date.



The Photographer must be notified immediately of any changes in schedule or location, at least 7 Days in advance of the scheduled wedding date. If the Client notifies the Photographer by phone, a written (i.e. email) confirmation must be sent within 2 days of such notification. If the date of the wedding changes, and notice is not given in accordance to the period specified above, then Photographer shall be entitled to the retainer amount as liquidated damages for having to reschedule the booking. The retainer amount will need to be repaid upon booking the new date, subject to Photographer's availability.



Notwithstanding the above, the Clients have a period of 14 days from the date the retainer/deposit is paid to cancel this agreement in full or in part by giving the Photographer notice in writing. The notice must be provided by all Client signatories to this agreement and shall act to cancel the agreement in full or relevant in part. 



In the event that the Wedding Day is less than 14 days from the date the Clients sign this agreement and paid the retainer/deposit, then the Clients shall be entitled to cancel up to the date of the Wedding Day only. If the Clients cancel this agreement in accordance with this clause (within the 14 day cooling off period) then the Photographer will return any monies paid by the Client in relation to the Photography Services cancelled within 14 days of the Client’s notice to cancel.



If the Photographer needs to cancel the booking due to illness, injury or family occasion, liability shall be limited to the amount of monies paid minus the fees for work already conducted.



The Photographer retains the right to cancel the booking at any time due to disagreement, ill feeling or correspondence which may be deemed inappropriate or highlight that both parties are not suitable to work together. If the Photographer decides to cancel the booking a full refund of all monies paid will be given minus the costs for any work already conducted. 



EXPENSES: Where extra expenses are incurred for the Photographer (for example travel, accommodation or overrunning coverage costs) either by prior agreement or as a result of alterations to the original brief by the Clients (for example, additional prints, albums or edits are requested), the Client shall give approval to and be liable to pay such extra expenses or fees as agreed or estimated. Any extra expenses are payable by the Client within 7 days of demand.



RESPONSIBILITIES: If the Photographer is exposed to (i) unsafe conditions, or (ii) objectionable or illegal acts at the wedding, the Photographer reserves the right to take reasonable action to remedy such a situation, including but not limited to leaving the wedding.



Any violations of physical boundaries, threatening or inappropriate physical behaviour, threatening or inappropriate language will not be tolerated and to protect her safety, the Photographer is within her right to cease work and leave the wedding immediately. 



In such an event, the Photographer shall not be obligated to refund any of the fees paid by the Clients because of such action.



SOLICITOR'S FEES: The prevailing party in any litigation or dispute involving this Agreement, or the Services performed there under, shall be entitled to recover reasonable solicitor's fees, costs, and expenses arising from such litigation or dispute from the non-prevailing party.



LAW: This agreement shall be governed by the laws of the United Kingdom.
